Company formation in Cyprus, from the name to the bank account.
Our partner advocate prepares and files the incorporation documents. We handle everything around it: the paperwork, the registrations, the bank application and the first year's dates. One person is your point of contact throughout.

Who this is for
Company formation is where most of the people who come to us start.
- Founders moving to Cyprus. You are bringing a real business here and want the company, the registrations and the bank application done in one sequence.
- Consultants and freelancers. You invoice clients in the EU and beyond and want an EU company with a tax number before the first invoice.
- Online shops. You sell to consumers across the EU and will need VAT, VIES and OSS as well as the company itself.
- A business abroad opening an EU base. Your group needs a Cyprus company that is managed and controlled from here, with the substance that banks and tax authorities look for.
- Co-founders. Two or more owners who want the share capital, the shareholdings and the directors set out properly from the first day.
What a Cyprus company needs
A nameApproved by the Registrar of Companies
Applied for by our partner advocate. We check availability against the Registrar's public register first and suggest alternatives, because names close to an existing company, or containing restricted words, are refused.
A constitutionMemorandum and Articles of Association
The company's founding document: its objects, share capital and internal rules. In Cyprus it is drafted, signed and sealed by a practising advocate, who also swears the HE1 declaration that the formation requirements have been met.
OfficersDirector and company secretary
Every Cyprus company has at least one director and a company secretary. You choose the directors; we do not supply them. If you do not have a company secretary, one is available through our licensed audit partner.
A registered officeAn address in Cyprus
Your own office if you have one; otherwise available through our licensed audit partner, an audit firm licensed by ICPAC.
Shareholders and beneficial ownersRecorded in two registers
The shareholders appear in the Registrar's records. The beneficial owners, the people who ultimately own or control the company, are registered separately in the UBO Register after incorporation and confirmed every year.
RegistrationsTax, VAT, VIES, OSS, employer
A Tax Identification Code before the first invoice; VAT, VIES and OSS where the business needs them; employer registration before the first employee starts. Each one explained.
An accountBank or electronic money institution
Opened in the company's name, with you as applicant and signatory. What providers look for.
Step by step
Tell us about the company
A short call about what the company will do, who will own and run it and where it will bank. Then your price, in writing.
Identity checks
You send passport copies, proof of address and a short description of the business and its funding. We and our partners complete the checks. This step sets the pace for everything after it.
Name
Our partner advocate applies to the Registrar of Companies for name approval. We help you choose names with a good chance of approval: the Registrar refuses names that are too close to existing companies, or that contain words it restricts.
Incorporation
The advocate drafts the Memorandum and Articles of Association, swears the HE1 declaration and files the incorporation. We submit the advocate's documents and collect the certificates: incorporation, directors and secretary, registered office, shareholders, and the certified Memorandum and Articles.
Registrations
CY Login, the UBO Register, the Tax For All account and the Tax Identification Code, then VAT, VIES, OSS and employer registration as the business needs them, in the order that lets you start invoicing soonest.
Bank account
We prepare your bank or EMI application to the provider's checklist, book the meetings and handle the follow-up. You are the applicant and the signatory; the decision is the provider's.
First invoice, then the calendar
The company trades. You get the calendar for the first year: the beneficial-owner confirmation, the Annual Return, the accounts and the tax and VAT filings.
Timings set by the Registrar, the Tax Department and the banks are theirs and change from time to time. We tell you the current position before you start.
Substance
Substance is the word banks, payment providers and tax authorities use for the question "is this company really run from Cyprus?". A company that is managed and controlled from Cyprus, with an office where the business needs one, a Cyprus-resident director where that is required, its accounting records kept here and its own bank or EMI account, answers the question.
A company without those things is harder to bank and harder to defend. We tell you what a given set-up needs before you commit to it, and we do not set up companies that are designed to have no substance.
Where the question is one of tax or legal position rather than practical arrangement, our audit partner or our partner advocate can advise.
Documents usually needed
The exact list depends on your case and is sent to you at step 2, "We ask you what we need". The Registrar, our partner advocate and the identity checks usually call for these.
- Passport copies for each director, shareholder and beneficial owner, with proof of address for each.
- A short description of the business and where its funding comes from. The identity checks are built on it.
- Two or three proposed names, so the advocate's application has a fallback if the Registrar refuses the first.
- The details for the Memorandum and Articles: what the company will do, the share capital and who holds which shares, the directors and the secretary, and the registered office address. The first officers go on form HE3 and the address on form HE2, filed with the incorporation.
- Permission from the relevant authority, only where the name contains a restricted word or the nature of the business needs pre-approval.
- Certified copies, only where a document comes from abroad and the Registrar or a partner asks for certification. We tell you by whom and how.
The Memorandum and Articles, signed in Greek, and the sworn HE1 declaration are prepared by our partner advocate; you do not supply them.
Common mistakes
- A name too close to an existing company. The Registrar refuses it and the file waits. We check the public register first and apply with alternatives ready.
- A director abroad, a company meant to be Cyprus tax resident. From 2026 a company is tax resident where it is managed and controlled. If the real decisions are taken in another country, that country can claim the company too. Plan where the board sits before the bank account and the first contract.
- Starting the identity checks last. They set the pace for everything after them, so they come first, before the name application goes in.
- Applying to a bank before the company has substance. Providers ask about the office, the resident director where there is one, the accountant and the registrations. A company designed to have none is harder to bank and harder to defend.
- VAT before the tax number. The Tax Identification Code is needed for the VAT registration, so the order is CY Login, the UBO Register, the tax number, then VAT.
- Forgetting the 90 days. A new company registers its beneficial owners in the UBO Register within 90 days of incorporation, whoever the registered shareholder is.
Questions
Can TH. Manau incorporate the company itself?
No. In Cyprus, drafting the Memorandum and Articles of Association and the other incorporation documents is reserved to practising advocates. Our partner advocate does that part, and the advocate's work is included in what we charge you. We prepare the file, coordinate, submit the advocate's documents and complete every registration around it.
How long does incorporation take?
The Registrar's processing times are set by the Registrar and change from time to time; an accelerated service is available for an additional government fee. We tell you the current position before you start and keep you posted at each step. Most of the waiting in a set-up sits in the identity checks and the bank application, which is why we start those first.
Do I need to be in Cyprus?
Not for the incorporation. Identity checks and signatures are completed remotely; where a document has to be certified, we tell you by whom and how. Residence applications and some bank meetings do need you in person, and we plan those around your travel.
Can I use an address abroad as the registered office?
No. A Cyprus company must have a registered office in Cyprus. If you have your own office here, that address is used. Otherwise a registered office is available through our licensed audit partner, an audit firm licensed by ICPAC.
What is the UBO Register?
The Registrar's register of beneficial owners: the people who ultimately own or control the company. The company registers its beneficial owners within 90 days of incorporation and confirms them every year between 1 October and 31 December. Beneficial owners are always recorded, whoever the registered shareholder is.
Is a Cyprus company an offshore company?
No. Cyprus is a member of the European Union. A Cyprus company is an EU company that pays corporate income tax, at 15% from tax year 2026, files its financial statements with its Annual Return and records its beneficial owners in a public register. What it offers is an EU base with a workable tax system, not secrecy.
How much does it cost?
Our prices are very competitive, and the partner advocate's incorporation work is included. Tell us what you need and we reply with your price, in writing, before anything starts. Government fees are paid at cost. Accounting, audit and tax returns are priced separately by our audit partner. Ask for your price.
Ready when you are.
Tell us where you are, where you are going and what the company will do. We reply with your price, in writing, and a time to talk.
