Who this is for
Every Cyprus company needs a registered office in Cyprus and a company secretary. This page is for the companies that lack one or the other.
- A company with no office of its own in Cyprus. The registered office must be a real address here, not a mailbox and not an address abroad; one is available through our licensed audit partner.
- A company with no one in Cyprus to act as secretary. The role, which keeps the statutory registers and files changes with the Registrar, is available through the same partner.
- A company with its own Limassol office. Your address is the registered office, and you still need a company secretary if no one in the company holds the role.
- A company changing its officers or address. The change documents are prepared and filed by our partner advocate; we manage the process and keep the Registrar's records matching.
- A founder deciding on directors. You choose them; we do not supply directors or shareholders. We set out what your company's banking and tax residence need before you decide.
Why a company needs them
Registered officeRequired for every company
Every Cyprus company has a registered office in Cyprus: the address where official notices are served and where the statutory registers are kept. Your own office if you have one; otherwise available through our licensed audit partner.
Company secretaryRequired for every company
Keeps the statutory registers, prepares the minutes and the Annual Return and files changes with the Registrar. A company with a Cyprus presence often has its own; otherwise the role is available through our licensed audit partner.
DirectorsChosen by you
Every company has at least one director. The directors are people you choose; we do not supply them. A company that is meant to be managed and controlled from Cyprus needs its decisions taken here, which is why banks often ask where the directors live.
How it works
Our partner is an audit firm licensed by ICPAC, the Institute of Certified Public Accountants of Cyprus. It provides the registered office and company secretary services under its own licence and carries out its own identity checks. You deal with us: we set it up, keep it in your calendar and answer your questions.
The partner's name is given in your written proposal. We describe it by category on this site because its services are its own.
What we do
We coordinate the appointments, make sure the Registrar's records match what was agreed, keep the office and secretary services in the same calendar as the filings, and remain your single point of contact for all of it. Where a change is needed, such as a new director, a transfer of shares or a change of address, the change documents are prepared and filed by our partner advocate; we manage the process.
Documents usually needed
The exact list depends on your case and is sent to you at step 2, "We ask you what we need". For the registered office and the company secretary, these are usually needed.
- Identity documents for the directors and beneficial owners: passport copies and proof of address. Our licensed audit partner carries out its own identity checks first.
- A short description of the business and its funding, for the same checks.
- The company's certificates and Memorandum and Articles, so that the statutory registers kept at the registered office are complete.
- For your own office as the registered office: its address, which must not be a mailbox. It is notified to the Registrar on form HE2 at incorporation and within 14 days of any change.
- For a change of director or secretary: the new officer's details and the date of the change, notified on form HE4 within 14 days, with the secretary's declaration that the company's own register has been updated.
Common mistakes
- An address abroad, or a mailbox. The registered office must be in Cyprus and must not be a mailbox: it is where official notices are served and where the statutory registers are kept.
- Moving office and forgetting the Registrar. A change of registered office is notified within 14 days on form HE2; a change of director or secretary within 14 days on form HE4. Late notice carries a late-filing fee.
- A director abroad, a company meant to be Cyprus tax resident. From 2026 a company is tax resident where it is managed and controlled. Where the board sits and decides is the first thing to plan.
- Expecting a firm to supply the director or the shareholder. We do not, and no one holds shares or sits on a board on your behalf through us. You choose your directors and you hold your own shares.
- Leaving the registers to no one. The secretary keeps the statutory registers, prepares the minutes and the Annual Return and files changes. If the secretary leaves, the replacement is notified within 14 days.
Questions
Why does TH. Manau not provide these services itself?
In Cyprus, providing a registered office or company secretary services to other companies is a regulated activity. Our partner is an audit firm licensed by ICPAC and provides these services under its own licence. We coordinate the work and keep it in the same calendar as everything else.
Can TH. Manau supply a director or a shareholder for my company?
No. We do not supply directors or shareholders, and we do not arrange for anyone to hold shares or sit on a board on your behalf. You choose your company's directors and you hold your own shares.
Will my name appear in the UBO Register?
Yes. The UBO Register records the people who ultimately own or control a Cyprus company, and every company registers its beneficial owners within 90 days of incorporation and confirms them each year.
Do I need a Cyprus-resident director?
Not as a rule of company law. In practice, most Cyprus banks expect one, and a company whose management and control is meant to be in Cyprus needs its decisions taken here. Whether your company needs one depends on how it will be run and banked; we set that out before you decide. The director is someone you choose.
How much does it cost?
Our prices are very competitive. Tell us what you need and we reply with your price, in writing, before anything starts. Ask for your price.
