Does a Cyprus company need a company seal?

Short answer

No. Since a 2009 amendment of the Companies Law, Cap. 113, a document signed for the company by a person with its authority has the same effect as if it carried the common seal; a company may still keep a seal and use it as its Articles provide.

Section 35 of the Companies Law, Cap. 113 says a document signed on behalf of a company, in Cyprus or elsewhere, by a person acting under its express or implied authority has the effect it would have under the common seal. Section 33 says the same for contracts: in writing, with or without the seal. The definition of a common seal now includes one that leaves no embossed impression.

If the company chooses to use a seal, the Articles set how it is used. Our partner advocate drafts the Articles so that the seal is optional, and a counterparty abroad who asks for a sealed document can be given one.

The Tax Department also lists where the company seal is used among the signs of where a company is managed and controlled, which matters for tax residence.
