When is a Cyprus company tax resident in Cyprus?
Short answer
From 2026, a company is tax resident in Cyprus if it is managed and controlled here. A company incorporated in Cyprus is also resident, unless a tax treaty gives it to another country.
Management and control is not defined in the tax legislation. The Tax Department looks at who sits on the board, where board meetings are held and the main decisions are taken, where the accounts are approved, whether the board controls a bank account in Cyprus and where the company seal is used.
So a Cyprus company whose real decisions are taken by a director living in another country can be claimed as resident by that country too. Where the board sits and decides is the first thing to plan, before the bank account and before the first contract.
