Can one person own and run a Cyprus company?

Short answer

Yes. A private company can be formed by one person, who can be its only shareholder and its only director, and in that case also its secretary; the Registrar's upper limit for a private company is 50 members.

The Companies Law, Cap. 113 allows one or more persons to form a private company. In a private company with a single member, the sole director may also act as secretary; in any other company the sole director cannot.

One formality follows: contracts between the single member and the company are recorded in minutes or set out in writing, unless they are ordinary transactions in the normal course of business.

A bank or a permit route may still prefer a second person in the company, which is a practical point, not a requirement of company law. We set it out before you decide.
