What is a certificate of good standing (incumbency) for a Cyprus company?
Short answer
A certificate from the Registrar of Companies showing the company's position on the register at the date of issue. There is no Registrar certificate called incumbency; what a bank or counterparty means by it is usually the set: good standing, directors and secretary, shareholders and registered office.
The Registrar issues certificates of registered office address, directors and secretary, shareholders or members, share capital, good standing, no charges and strike-off, plus certified copies of the certificate of incorporation and of the Memorandum and Articles of Association. Each reflects what has been filed with the register up to the date of issue, and a certificate for a past date or period can also be requested.
The fee is €20 per certificate or certified copy, with a further €20 for the accelerated procedure. Most are ordered online through the Registrar's e-filing system and carry a code that can be verified online for 90 days; a signed and sealed paper version is collected from the Registrar's certified copies section when the receiving party wants one.
For use abroad, the paper certificate then goes to the Ministry of Justice and Public Order for an apostille, and to a sworn translator if the receiving country needs one. We order, collect, apostille and translate the set and keep copies in the company's file.
